Terms and Conditions of Sale of Utopia & Utility GmbH

1. Seller and scope. These terms apply to all orders placed through this website with Utopia & Utility GmbH, Seekamp 10, 24358 Ahlefeld-Bistensee, Germany, registered at Amtsgericht Kiel, HRB 15585 KI ("Utopia & Utility", "we", "us"). A consumer is anyone who buys for purposes that are mainly outside their trade or profession. A trade customer is anyone buying in the course of their business. Where a clause applies only to one of these groups, it says so. Terms of the customer apply only if we agree to them in writing.

2. Contract. Our product pages are not a binding offer. By clicking the order button you make a binding offer to buy. We accept it by confirming the order or by dispatching the goods. The contract language is English. We store the contract text, and you receive the order details by email.

3. Prices and payment. Prices include German VAT at the current rate, or the VAT of the destination country where this applies. Shipping costs are shown before you place your order. For deliveries outside the EU, import duties and local taxes may be charged by the carrier on delivery and are paid by the recipient. Payments are made in the currency shown at checkout: Euro (€), US Dollar (US$), British Pound (£) or Japanese Yen (¥), depending on your delivery country, using the payment methods offered at checkout. Trade orders are quoted and invoiced individually.

4. Delivery. We ship to the address you give us. Delivery times and costs are set out in our Shipping Policy. For consumers, the risk of loss or damage passes when the goods are handed to you. For trade customers, it passes when the goods are handed to the carrier. If delivery fails for reasons you are responsible for, for example a wrong address or refusal to accept, we refund the price of the goods but may keep the shipping costs. It is the customer's responsibility to check whether the materials of our products (such as wood, metal, glass, stone, cork, ceramic, feathers, basketry, wool or paper) may be imported into their country.

5. Our products. Our pieces are handmade from natural materials. Slight variations in colour, size and texture from the pictures are part of their character and are not defects. Measurements are approximate.

6. Checking your delivery. Please check your parcel on arrival and report any visible transport damage to the carrier and to us as soon as possible, with photos. This helps us claim against the carrier. For consumers, failing to do so does not affect your statutory rights. Trade customers must report visible defects in writing within five days of receipt (§ 377 HGB).

7. Right of withdrawal. Consumers have a statutory right of withdrawal of 14 days. The details and the model withdrawal form are set out in our Refund Policy. Trade customers have no right of withdrawal.

8. Faulty goods. The statutory warranty rights apply. If an item arrives faulty, please contact us at info@utopiaandutility.eu with photos. We will replace it where possible or refund it, including shipping costs. Items sold at our occasional sample sales with a flaw that is described and shown before purchase are not faulty because of that flaw. For trade customers, the warranty period is 12 months from delivery.

9. Liability. We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under the Product Liability Act. For slight negligence we are liable only for breach of essential contractual obligations, limited to the damage typically foreseeable at the time of the contract.

10. Force majeure. We are not responsible for delays caused by events beyond our reasonable control, such as natural disasters, war, strikes, pandemics or disruption of transport or supply. We will inform you, and either party may withdraw from the contract if the delay lasts unreasonably long; payments already made will be refunded.

11. Intellectual property. All designs, images and texts remain the property of Utopia & Utility GmbH.

12. Applicable law and courts. German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, this choice of law does not remove the protection of mandatory provisions of the law of the country where they live. For trade customers, the place of jurisdiction is the court responsible for our registered office.

13. Dispute resolution. We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board.
